Investment Strategy

We Back Assets That
Produce Real Cash Flow

A disciplined, repeatable approach to acquiring income-producing commercial assets in sectors defined by non-discretionary demand and structural supply shortages.

Philosophy

Three Pillars of Our Investment Approach

01

Non-Discretionary Demand

Our sectors serve essential needs that cannot be deferred or substituted. SEND education placements, children's residential care, and healthcare provision are legally mandated by local authorities and government bodies. Demand is structurally insulated from economic downturns, interest rate cycles, and consumer sentiment.

02

Asset-Backed Security

Every R2 investment is secured against income-producing real assets — operating businesses, property, and contracted revenue streams. This security package provides investors with a defined recovery floor in stress scenarios and distinguishes our approach from unsecured credit or pure equity exposure.

03

Active Management

We are not passive capital allocators. R2 works alongside portfolio company management teams to drive operational improvements, EBITDA growth, and the strategic initiatives that compound investor returns. Our team has direct operational experience in each of our target sectors.

Our Process

From Origination to Active Management

1

Origination

We source proprietary deal flow through sector-specialist intermediaries, direct management team relationships, and strategic adviser networks. We do not rely on public auction processes.

2

Due Diligence

Comprehensive commercial, financial, regulatory, and operational diligence. We assess management quality, income quality, regulatory track record, and downside scenarios before advancing any transaction.

3

Deployment

Capital is structured with appropriate first or second charge security, clear covenant packages, and investor-aligned governance frameworks. We target deployment within 60 days of heads of terms.

4

Active Management

Post-deployment, our team works alongside management on operational improvement, financial reporting, and strategic development. We hold regular portfolio reviews and provide proactive investor communications.

Sectors

Why We Target These Four Sectors

Each sector shares the same fundamental characteristics: legally mandated demand, regulated supply, long-term government-backed income, and meaningful barriers to entry.

The UK's SEND sector is experiencing a structural demand surge that shows no signs of abating. SEND pupil numbers have increased by over 100% in the past decade, with 517,000 pupils holding EHC Plans in 2023. Local authorities have a statutory duty to provide appropriate placements — creating a legally mandated, non-discretionary customer base. Supply cannot keep pace: opening a new SEND school requires DfE approval, Ofsted registration, and significant preparatory investment — a process taking 18–36 months. The result is persistent waiting lists, strong pricing power for established operators, and high occupancy rates across the sector. R2 targets operators with established regulatory track records and management teams that understand the operational complexity of specialist education.

There were approximately 83,000 looked-after children in England in 2023, with around 15% in residential settings. Local authorities have a legal duty to accommodate these children, but face a national shortage of registered placements. Every residential home must be registered with Ofsted — a process requiring stringent scrutiny of the physical environment, safeguarding procedures, staffing ratios, and the credentials of the Responsible Individual. New registrations typically take 6–12 months and require significant upfront investment. The Independent Review of Children's Social Care (2022) identified a shortfall of several thousand placements nationally. Local authorities regularly place children out-of-area due to local supply constraints, with out-of-area placements carrying a per-week cost premium that benefits established providers.

Community and specialist healthcare services commissioned by NHS Integrated Care Boards and local authorities represent one of the most stable income environments available to private operators. Long-term service agreements, CQC registration requirements, and the impossibility of quickly scaling specialist clinical capacity create a favourable competitive environment for established providers. R2 looks for businesses where the clinical and regulatory track record is established, the management team is embedded, and the income base is diversified across multiple commissioning bodies.

Purpose-built operational real estate in regulated sectors — care homes, supported living, specialist educational facilities — combines the income visibility of real estate with the defensive characteristics of the underlying sector. Long-term lease structures with regulated operators provide income security, while planning restrictions and sector-specific building requirements limit new supply. R2 assesses specialist property opportunities both as direct investments and as the security package underpinning operational business acquisitions.

Risk Framework

How We Think About Risk

Sector Selection

We only deploy capital in sectors with non-discretionary demand. This is our first and most important risk filter.

Income Quality

We prefer contracted, government-backed revenue over market-dependent income. Commissioning agreements and placement contracts provide income visibility.

Asset Coverage

All investments are secured against real assets. We target loan-to-value ratios that provide meaningful downside protection.

Management Quality

We assess management teams rigorously — operational capability, regulatory track record, and alignment with investor interests.

Diversification

We build portfolio exposure across multiple sectors, geographies, and management teams to reduce concentration risk.

Exit Visibility

We structure investments with clear exit mechanisms — refinancing, trade sale, or institutional acquisition — and assess realistic exit valuations before deployment.
